The rules for using the Service — your account, acceptable use, our software, and how disputes are handled.
These Terms of Use govern your access to the Inspections Manager website and hosted software service (the "Service"), operated by Inspections Manager LLC ("we", "us"). By accessing or using the Service, you agree to these Terms.
If your organization has signed a separate agreement with us (for example, a Master Services Agreement or Subscription Agreement), that agreement controls where it conflicts with these Terms for that organization's use.

1. Who these terms cover
These Terms apply to individual users who access the Service — including staff, inspectors, contractors, and billing or portal contacts invited by a Customer. Your organization's agreement with us governs the commercial relationship; these Terms govern your individual use.
2. Your account
You must use only your own account or authorized portal credential, keep your credentials confidential, promptly report any suspected unauthorized access, and access only the projects, reports, invoices, and records you are authorized to view. You are responsible for activity under your account.
3. Acceptable use
You may not:
- attempt to bypass authentication, single sign-on, tenant boundaries, billing-account boundaries, or role limits;
- scrape, overload, probe, reverse engineer, decompile, or attack the Service, or attempt to derive its source code;
- upload malicious code or unlawful content;
- use the Service to make unauthorized professional certifications or to misrepresent inspection status; or
- access, copy, or move data beyond what your role and your organization have authorized — your organization controls how its own data is used and shared.
4. Your content
Data and content entered into the Service remain subject to your organization's agreement with us. You are responsible for ensuring the content you upload or submit is accurate, lawful, and that you are authorized to submit it.
5. Professional responsibility
Inspections Manager is a workflow and record-keeping platform. It does not provide engineering, architectural, inspection, legal, accounting, or code-compliance advice, and it does not replace the professional judgment of licensed professionals. Inspection conclusions, sealed or certified reports, and regulatory decisions remain the responsibility of you and your licensed professionals.
6. AI-assisted features
If AI-assisted features are enabled, their outputs are draft workflow support only. You remain responsible for reviewing, correcting, approving, and professionally validating any report, invoice, summary, or other output before you use or distribute it. The Service does not make autonomous engineering, legal, inspection, payment, or code-compliance decisions.
7. Our intellectual property
The Service, its software, interfaces, workflows, templates, and designs are owned by us and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, resell, sublicense, or create derivative works of the Service, use it to build a competing product, or remove any proprietary notices.
8. Copyright and takedowns
You may upload only content you own, are authorized to use, or are otherwise permitted to submit. If you believe content in the Service infringes your copyright, contact us at the address below and we will review and act on valid notices. Repeat infringers may be suspended.
9. Suspension
We may suspend access for a security risk, suspected misuse, a legal requirement, non-payment where applicable, or a breach of these Terms, subject to any commitments in your organization's agreement.
10. Disclaimers and liability
The Service is provided "as is." To the fullest extent permitted by law, we disclaim implied warranties, and our liability is limited as set out in your organization's agreement with us. Availability commitments, if any, are stated in the applicable Service Level Agreement.
11. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.
Before starting a court proceeding, a party must give the other party written notice describing the dispute. Representatives with authority to resolve it will then meet and negotiate in good faith for up to fifteen (15) business days after notice.
If the dispute remains unresolved, the parties will attempt to resolve it through non-binding mediation in New Jersey, or remotely by mutual agreement, with a mutually selected mediator. The parties will share the mediator's fees equally and keep the mediation confidential. Either party may proceed in the state or federal courts located in New Jersey after the mediation concludes, or forty-five (45) days after a written request for mediation if the other party does not participate.
This process does not prevent either party from seeking temporary or injunctive relief to protect confidential information, intellectual property, security, or data; pursuing an eligible small-claims matter; or collecting undisputed overdue amounts.
12. Changes and contact

Which agreement controls for my organization?
The Terms of Use govern individual access. If your organization signs a separate Subscription Agreement, Master Services Agreement, order form, or similar agreement, that agreement controls where it conflicts with these Terms for the organization’s use.
Can my organization share or export its own data?
Yes. The Customer organization controls how its own data is used and shared. Individual users may act only within the access and authority their organization grants them.
Who is responsible for inspection conclusions?
The licensed professionals and organizations using the Service remain responsible for inspection conclusions, certifications, sealed reports, code-compliance decisions, and professional judgment. Inspections Manager provides workflow and record-keeping tools.
Can AI output be issued without review?
No. AI-assisted output is workflow support only. An authorized person must review, correct, approve, and professionally validate it before use or distribution.
May someone copy or reverse engineer the Service?
No. The Service, interfaces, workflows, templates, and designs are protected intellectual property. Copying, reverse engineering, reselling, sublicensing, or using them to build a competing product is prohibited except where law expressly prevents that restriction.
When can access be suspended?
Access may be suspended for a security risk, suspected misuse, a legal requirement, applicable non-payment, or a breach of the Terms, subject to commitments in the Customer’s agreement.
Do disputes go directly to court?
Usually not. The parties first provide written notice, meet through representatives who can resolve the matter, and attempt non-binding mediation. New Jersey courts remain available if those steps do not resolve the dispute, with limited exceptions for urgent relief, eligible small-claims matters, and collection of undisputed amounts.
